These Terms of Service ("Terms") govern your access to the EduPrime AIwebsite and cloud platform (collectively, the "Service"). By visiting our site, submitting a form, registering a school, or using the product, you agree to these Terms. If you do not agree, do not use the Service. When you use the product on behalf of a school or organization, you represent that you have authority to bind that organization, and "you" includes that organization.
1. The Service
EduPrime AI provides software for schools and similar institutions to manage academics, attendance, staff, students, families, finance, communication, and related workflows. Features vary by subscription plan and configuration. We may add, change, or discontinue features with reasonable notice where practicable.
The public website offers information, contact and registration forms, and links to sign in to your institution's workspace. The application is accessed at URLs we provide to each school tenant.
2. Accounts and access
- School tenants. Each institution receives a separate workspace. A primary administrator is responsible for inviting users and configuring roles.
- User credentials. You must provide accurate information, keep login details confidential, and notify your administrator or us promptly if you suspect unauthorized access.
- Role-based access.You may only use data and features permitted for your role. Attempting to bypass permissions or access another school's data is prohibited.
- Minimum age. Product accounts for students or minors are created and managed by the school, not by children signing up directly on the public website.
3. Institution responsibilities
Schools and districts using the Service are responsible for their own compliance with education, privacy, and employment laws. That includes obtaining appropriate consents, providing required notices to families and staff, and ensuring data entered into the system is accurate and lawfully collected.
Your institution controls most content in its workspace—including student records, grades, messages, and imported files. You are responsible for backups or exports you require beyond what the Service provides, and for offboarding users when they leave your organization.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful, harmful, or fraudulent purpose.
- Upload malware, scrape or overload our systems, or attempt to probe or breach security.
- Harass, threaten, or discriminate against others through the platform.
- Share credentials or resell access to the Service without our written permission.
- Use the Service to send spam or unsolicited commercial messages outside normal school operations.
- Misrepresent your identity or affiliation with a school.
We may investigate violations and suspend or terminate access to protect users, schools, and the Service.
5. Your content and data
Schools and users retain ownership of content they submit. You grant us a limited license to host, process, transmit, and display that content solely to operate, secure, and improve the Service as described in our Privacy Policy.
You represent that you have the rights needed to upload content (including photos and bulk imports) and that doing so does not violate third-party rights or applicable law.
6. Subscriptions and fees
Paid plans, trials, and billing terms are agreed with your institution separately (for example in an order form, statement of work, or online checkout). Unless stated otherwise in that agreement, subscriptions renew according to the billing cycle until cancelled. Fees are non-refundable except where required by law or expressly stated in your institution's contract.
We may change list prices for new purchases with advance notice. Existing paid terms continue through the current billing period unless your agreement says otherwise.
7. Third-party services
The Service may integrate with third parties (for example Google Gmail for optional email delivery). Your use of those integrations is subject to the third party's terms and privacy policies. We are not responsible for third-party services outside our reasonable control.
8. Intellectual property
We and our licensors own the Service, including software, branding, documentation, and design. These Terms do not grant you any right to our trademarks or to copy, modify, or reverse engineer the Service except as allowed by law.
Feedback you provide may be used by us without restriction or compensation to improve the product.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
EduPrime AI is a tool to support school operations; it does not replace professional judgment, legal advice, or statutory obligations of educators or administrators.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOUR INSTITUTION TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100) IF NO SUCH PAYMENTS APPLY.
Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.
11. Indemnification
You will defend, indemnify, and hold harmless us and our affiliates from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, your violation of these Terms, or your violation of others' rights—except to the extent caused by our gross negligence or willful misconduct.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirements, or to protect the Service. Upon termination, your right to use the Service ends; we may delete or retain data according to our Privacy Policy and your institution's agreement.
Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.
13. Changes
We may update these Terms by posting a revised version on this page and updating the "Last updated" date. Continued use after changes become effective constitutes acceptance. If changes are material, we may provide additional notice through the Service or by email where appropriate.
14. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory local law requires otherwise. Courts located in India will have exclusive jurisdiction over disputes arising from these Terms or the Service, unless applicable law requires a different forum.
